Terms of Service
These Terms of Service ("Terms") are an agreement between you and the team behind Citylap ("we," "us," or "our") governing your access to and use of the Citylap mobile application and related services (the "Service").
Citylap is currently offered as an early beta. The Service is under active development, and features may change, be interrupted, or be discontinued as the Service evolves.
By accessing or using the Service, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.
2. Account Registration and Security
You need to create an account to use some or all features of the Service. You agree to provide accurate information, keep your credentials secure, and promptly update your information if it changes.
You are responsible for activities that occur under your account. We may use phone verification, email verification, and other security measures to authenticate accounts and reduce abuse.
3. License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use.
4. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
5. Location Sharing and User Responsibility
The Service enables users to share location-related information with selected recipients. You are solely responsible for:
- Deciding whether to enable location services
- Choosing who may view your location-related information
- Reviewing your permissions, settings, and connected users
- Using the Service lawfully, responsibly, and safely
You acknowledge that sharing location information may create privacy, security, and personal safety risks, and you accept sole responsibility for those risks and for your decisions about how you use the Service.
Location accuracy depends on factors outside our control, including GPS signal, network connectivity, and device battery. Location information may be delayed, approximate, or temporarily unavailable, and should not be relied upon as precise, guaranteed, or real-time.
6. Acceptable Use
Citylap depends on users feeling safe sharing their location, and you agree to use the Service in good faith. You may not:
- Use the Service to harass, threaten, or harm another person, or share another person's location or information without their consent
- Violate any law or the rights of others
- Impersonate another person or misrepresent your identity
- Upload photos, contact details, or other personal information about another person without their permission
- Interfere with, disrupt, overload, or attempt unauthorized access to the Service, reverse engineer it, or upload malicious code
If we suspect someone is misusing the Service, we reserve the right to investigate it and suspend or remove their account without prior notice or recoverability option
7. User Content
You may provide content, including profile information, location-related entries, communications, and other materials ("User Content"). You retain ownership of your User Content. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, reproduce, and display User Content only as necessary to operate, secure, maintain, improve, and provide the Service.
Visibility: to help other users find you, your profile photo and name may appear in Citylap's search results and may be visible to other users before you connect. Other information is shared only with the recipients you choose.
Storage and encryption: your location data is always end-to-end encrypted and cannot be read by us. Certain other data — including your name, email address, reactions, and notification data — may be stored unencrypted where necessary for the Service to function.
By providing User Content, you represent that:
- You have all rights necessary to provide it
- It does not violate any law or the rights of any third party
- You will not use the Service to harm or unlawfully monitor another person
8. Communications
By creating an account or using the Service, you agree that we may send you service-related communications, including account, verification, security, support, operational, and transactional messages by email, push notification, or SMS where applicable.
You are responsible for any carrier charges, messaging fees, or data fees that may apply.
9. Paid Features and Subscriptions
Some features of the Service may be offered on a paid or subscription basis in the future. If we introduce paid features, we will present the applicable pricing, billing terms, renewal terms, cancellation terms, refund terms, taxes, and any additional terms before you are charged.
Unless otherwise stated at the time of purchase, subscriptions may automatically renew until cancelled. Payments, renewals, cancellations, and refunds, if applicable, will be governed by the terms presented at purchase and any mandatory rules of the Apple App Store, Google Play, or other payment provider.
10. Service Changes
We may modify, suspend, or discontinue some or all of the Service at any time, with or without notice.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access at any time if we believe:
- You violated these Terms
- You created risk to other users
- Your use may expose us or others to legal, security, or reputational harm
- Suspension or termination is necessary to protect the Service, users, or comply with law
We may also retain or preserve information where necessary to comply with law, resolve disputes, investigate abuse, or enforce these Terms.
Sections that by their nature should survive termination will survive, including sections concerning ownership, disclaimers, limitations of liability, indemnification, and disputes.
12. Intellectual Property
The Service, including its software, design, branding, text, graphics, and content other than User Content, is owned by us. Except for the limited license granted in these Terms, we reserve all rights.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
15. Indemnification
You agree to defend, indemnify, and hold harmless us and our officers, employees, contractors, affiliates, and service providers from and against claims, liabilities, damages, losses, and expenses arising out of or related to:
- Your use or misuse of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any law or the rights of another person
16. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles, except to the extent preempted by applicable law.
17. Dispute Resolution
If a dispute arises, we encourage you to contact us first so we can attempt to resolve it informally. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved exclusively in the state or federal courts located in Pennsylvania, and you consent to personal jurisdiction and venue in those courts, unless applicable law requires otherwise.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the Effective Date and may provide additional notice. Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms.
19. Feedback
We welcome feedback, bug reports, and suggestions. By submitting feedback, you agree that we may use it to operate and improve the Service without restriction, compensation, or obligation of confidentiality, and you represent that you have the right to share it.
20. International Users
We operate the Service from the United States. If you access the Service from other locations, you are responsible for compliance with your local laws, and some features may be unavailable or may function differently outside the United States.
21. General Provisions
- Severability: if any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
- Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
- No waiver: our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
- Assignment: you may not assign these Terms; we may assign them, including in connection with a merger, acquisition, or sale.
