Terms of Service

Effective Date: June 5, 2026

These Terms of Service ("Terms") are a legally binding agreement between you and Technical Assemblage LLC ("Company," "we," "us," or "our") governing your access to and use of the Citylap mobile application and related services (the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration and Security

You may need to create an account to use some or all features of the Service. You agree to provide accurate information, keep your credentials secure, and promptly update your information if it changes.

You are responsible for activities that occur under your account. We may use phone verification, email verification, and other security measures to authenticate accounts and reduce abuse.

3. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use.

4. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

5. Location Sharing and User Responsibility

The Service enables users to share location-related information with selected recipients. You are solely responsible for:

• Deciding whether to enable location services
• Choosing who may view your location-related information
• Reviewing your permissions, settings, and connected users
• Using the Service lawfully, responsibly, and safely

You acknowledge that sharing location information may create privacy, security, and personal safety risks.

6. Prohibited Conduct

You may not use the Service to:

• Harass, stalk, threaten, abuse, exploit, or intimidate another person
• Track or attempt to track any person without their knowledge, authorization, or a lawful basis
• Use the Service in connection with domestic abuse, coercive control, or other harmful conduct
• Violate any law, regulation, or third-party rights
• Impersonate another person or misrepresent your identity
• Interfere with, disrupt, damage, or compromise the Service
• Attempt unauthorized access to accounts, systems, or data
• Upload malware, malicious code, or harmful content
• Reverse engineer or misuse the Service except to the extent permitted by law

We may investigate suspected misuse and suspend or terminate accounts engaged in prohibited conduct.

7. Safety and Emergency Disclaimer

THE SERVICE IS NOT INTENDED FOR EMERGENCY RESPONSE, PERSONAL SAFETY GUARANTEES, LAW ENFORCEMENT USE, OR LIFE-CRITICAL DECISION-MAKING.

We do not guarantee that location-related information is accurate, complete, current, precise, continuously available, or delivered in real time. Do not rely on the Service to prevent harm, confirm someone's precise whereabouts, or replace emergency services. If you are in danger or need emergency assistance, contact emergency services directly.

8. User Content

You may provide content, including profile information, location-related entries, communications, and other materials ("User Content"). You retain ownership of your User Content, but you grant us a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, reproduce, and display User Content solely as necessary to operate, secure, maintain, improve, and provide the Service.

You represent and warrant that:

• You have all rights necessary to provide your User Content
• Your User Content and use of the Service do not violate any law or third-party rights
• You will not use the Service to harm, surveil, or unlawfully monitor another person

9. Communications

By creating an account or using the Service, you agree that we may send you service-related communications, including account, verification, security, support, operational, and transactional messages by email, push notification, or SMS where applicable.

You are responsible for any carrier charges, messaging fees, or data fees that may apply. Consent to receive promotional communications, if any are offered in the future, can be managed as required by applicable law.

10. Paid Features and Subscriptions

Some features of the Service may be offered on a paid or subscription basis in the future. If we introduce paid features, we will present the applicable pricing, billing terms, renewal terms, cancellation terms, refund terms, taxes, and any additional terms before you are charged.

Unless otherwise stated at the time of purchase, subscriptions may automatically renew until cancelled. Payments, renewals, cancellations, and refunds, if applicable, will be governed by the terms presented at purchase and any mandatory rules of the Apple App Store, Google Play, or other payment provider.

11. Service Changes

We may modify, suspend, or discontinue some or all of the Service at any time, with or without notice, to the extent permitted by law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time if we believe:

• You violated these Terms
• You created risk to other users
• Your use may expose us or others to legal, security, or reputational harm
• Suspension or termination is necessary to protect the Service, users, or comply with law

We may also retain or preserve information where necessary to comply with law, resolve disputes, investigate abuse, or enforce these Terms.

Sections that by their nature should survive termination will survive, including sections concerning ownership, disclaimers, limitations of liability, indemnification, and disputes.

13. Intellectual Property

The Service, including its software, design, branding, text, graphics, and content other than User Content, is owned by us or our licensors and is protected by law. Except for the limited license granted in these Terms, we reserve all rights.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHNICAL ASSEMBLAGE LLC AND ITS OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• $100 USD
• The amount you paid us, if any, in the 12 months before the event giving rise to the claim

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Nothing in these Terms limits rights that cannot be waived or limited under applicable law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Technical Assemblage LLC and its officers, members, managers, employees, contractors, affiliates, and service providers from and against claims, liabilities, damages, losses, and expenses arising out of or related to:

• Your use or misuse of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any law or the rights of another person

17. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles, except to the extent preempted by applicable law.

18. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Erie County, Pennsylvania, and you consent to personal jurisdiction and venue there, unless applicable law requires otherwise.

19. App Store Terms

If you download the app through the Apple App Store, Google Play, or another marketplace, you acknowledge that those platforms are not parties to these Terms and are not responsible for the Service. You also agree to comply with all applicable third-party terms of those platforms.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the Effective Date and may provide additional notice. Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms.
